Amit Mehta is the Founder and the Managing Partner of the multi-disciplinary Indian law firm Hilit & Hilit Law Offices.
With an experience of more than twenty years he has been advising and representing clients on a wide variety of corporate matters including Corporate and Commercial laws, Mergers & Acquisitions, Joint Ventures and Corporate Restructuring. He has worked with clients across sectors such as Defence, Banking & Finance, Fintech, Telecommunications, Energy & Infrastructure and Pharmaceuticals.
He has worked on several international commercial transactions, including devising appropriate entry and exit strategies, conducting legal due diligence, representing parties before various government authorities for investment and trade-related approvals, legal entity restructuring, joint ventures, mergers and acquisitions and buy-back of securities. He has also advised various companies in connection with their Initial Public Offer (IPO) and SEBI / Stock Exchange related matters.
In the Defence sector, Mr Mehta has represented several global defence players in forming joint ventures in India and advised them in negotiating and finalizing the transaction documents including joint venture agreements, escrow agreement, technology transfer agreement etc. He has also advised clients on regulatory framework including foreign direct investment policy, Industrial Licensing regime, Defence Procurement Procedure etc.
In the infrastructure space, He has been involved in several power, oil & gas and telecom projects. He has conducted several legal due diligence exercises relating to infrastructure projects and project financing, especially in the power (conventional & non-conventional) and oil & gas (upstream) sector. He has experience in handling project-related documentation, including the review of shareholders’ agreements, power purchase agreements, O&M agreements, EPC contracts, fuel supply agreements, concession agreements, production sharing contracts, joint operating agreements, farm in/farm out agreements, built-to-suit and sale & leaseback agreements.
Mr Mehta has participated and delivered papers at various law conferences in the areas of government deregulation and other economic legislations. He has contributed articles to various books and journals. Some of the articles include ‘Project Financing in India’, ‘Private Equity in India’, ‘Overview of Arbitration Law in India’. He has also written several chapters for the book ‘Joint Ventures and Mergers & Acquisitions in India, Legal & Tax Aspects, published by Lexis-Nexis- Butterworth’s in January 2006.
